IMPORTANT: Please read these Terms and Conditions carefully before using the Website or any of BitGlide Services.

These BitGlide Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“you” or a “User”) and BitGlide sp. z o.o. (“BitGlide”, “we” or “us”) that governs your access and use of any BitGlide account (the “BitGlide Account”) and applies to your use of certain services offered by BitGlide as described herein (the “Services”) via the BitGlide website https://bitglide.cc/ (the “Website”).

1. Acceptance of Terms; Services Provision

1.1. By registering for a BitGlide Account or using any of the Services, you agree that you have read, understood and accept all of the terms and conditions contained in these Terms as well as the BitGlide Privacy Policy, Cookie Policy, and AML/KYC Policy, and you acknowledge and agree that you will be bound by these agreements and policies.

IF THE USER DOES NOT ACCEPT THESE TERMS, THE USER SHALL NOT ACCESS THIS WEBSITE AND SHALL NOT USE ANY OF BITGLIDE’S SERVICES.

Please note that in these Terms we use the term “Crypto Currency” to refer to BTC, TRX, USDT, or any other virtual currencies or digital assets. A list of Crypto Currencies that our Services support is available through the BitGlide Account or Website. For the avoidance of doubt, where used herein, the term “funds” includes Crypto Currency.

1.2. BitGlide is a cryptocurrency exchange and related services provider, a Polish company with company registration number (KRS): 0001031417, and its registered address at Ostrobramska 101, 04-041 Warsaw, PolandBitGlide authorization number in relation to the virtual currency business activity: RDWW-729.

1.3. BitGlide Services include, but are not limited to, cryptocurrency exchange services that facilitate the buying of Crypto Currency by the User. BitGlide is regulated and provides its Services in accordance with the laws of Poland.

1.4. Through the Website, the User can receive the Services of purchasing the Crypto Currency in exchange for fiat currency (EUR, USD, etc.).

2. Eligibility; BitGlide Account Registration; Management of the BitGlide Account

2.1. Eligibility. The BitGlide Services are only available to the Users who are at least 18 years old (or at least the legal age in their jurisdiction). By accessing or using your BitGlide Account and the Services, you further represent and warrant that:
  1. you are at least 18 years old and of legal age in the User’s jurisdiction to form a binding contract, and you are not a resident of a Restricted Territory (as defined below);
  2. all registration information you submit is accurate and truthful;
  3. you will not be using your BitGlide Account and Services for any illegal activity, including, but not limited to, illegal gambling, money laundering, fraud, blackmail, extortion, ransoming data, terrorism financing, other violent activities or any prohibited market practices.

2.1.1. BitGlide strictly adheres to national and international sanctions, including (without limitation) restrictive measures imposed by international public law and approved by international organisations and/or countries regarding: (i) countries (see detailed below); (ii) persons and entities located, domiciled, resident or incorporated is such countries as referred to in (i); (iii) specific subjects of sanctions (terrorists, persons accused of military and political crime, extremist organisations, etc.); (iv) persons or entities owned or controlled by or affiliated with persons, entities or any other parties as referred to in (ii) and (iii) (hereinafter all mentioned in (ii)-(iv) referred to as “Restricted Persons”); or (iv) activities.

2.1.2. BitGlide ensures compliance of its Services with the requirements laid down in the laws and regulations of the Republic of Poland and the European Union, as well as ensures compliance with sanctions implemented by the European Union, the United Nations, and the United States.

2.1.3. Website and the Services are currently only available to institutions located in supported jurisdictions. The User shall not use the Services and/or the Website if the User is located or is a resident of a geographic area in which access to or use of the Services and/or the Website is prohibited by applicable law, decree, regulation, treaty, or administrative act, including without limitation the following territories: Afghanistan, Algeria, Angola, Bangladesh, Barbados, Belarus, Bolivia, Bosnia and Herzegovina, Burkina Faso, Burundi, Cameroon, Central African Republic, Chad, China, Congo (the Democratic Republic of the Congo), Cuba, Egypt, Ethiopia, Gabon, Guinea, Guinea-Bissau, Haiti, Iran (Islamic Republic of Iran), Iraq, Jamaica, Kenya, Korea (the Democratic People's Republic of Korea), Kosovo, Laos, Lebanon, Liberia, Libya, Madagascar, Mali, Monaco, Morocco, Mozambique, Myanmar, Namibia, Nepal, Nicaragua, Niger, Nigeria, North Macedonia (Republic of North Macedonia), Philippines, Qatar, Russian Federation, Senegal, Sierra Leone, Somalia, South Africa, South Sudan, Sri Lanka, Sudan, Suriname, Syrian Arab Republic, Tanzania, Tunisia, Uganda, Ukraine, United States, Venezuela (Bolivarian Republic of Venezuela), Vietnam, Virgin Islands, British, Virgin Islands, U.S., Yemen, Zimbabwe, as well as all disputed/occupied territories (e.g., Northern Cyprus, Crimea, Donetsk, Kherson, Luhansk and Zaporizhzhia territories etc.) (each a “Restricted Territory”). Certain partial restrictions may apply to additional geographic areas, as shall be notified by BitGlide from time to time. The Restricted Territories list may change from time to time for reasons, which include but are not limited to licensing requirements and any other legal and regulatory changes.

2.1.4. The User from the following high-risk countries is subject to additional scrutiny (such as additional due diligence procedures persuant to BitGlide AML/KYC Policy) and may face restrictions in accessing certain Services and/or the Website provided by BitGlide. This list of high-risk countries is based on the internal assessment of factors including, but not limited to, financial risk, political instability, and regulatory considerations. The list of high-risk countries is as follows: Andorra, Anguilla, Antigua and Barbuda, Armenia, Aruba, Azerbaijan, Azores, Bahama Islands, Belize, Bermuda, Bonaire (Netherlands Antilles Territory), Brunei Darussalam, Cayman Islands, Chile, Comoros, Cook Islands, Costa Rica, Curaçao, Dominica, Falkland Islands (British Territory), French Guiana (French department), French Polynesia (French collectivity), Gambia, Georgia, Gibraltar, Grenada, Guadeloupe (French department), Guernsey, Hong Kong, Iceland, India, Indonesia, Israel, Jersey, Kazakhstan, Kyrgyzstan, Macau, Marshall Islands, Martinique (French department), Mauritius, Mayotte (French department), Moldova, Mongolia, Montenegro, Montserrat, Nauru, Netherland Antilles, New Caledonia, Niue, Papua New Guinea, Reunion (French department), Saba (Netherlands Antilles Territory), Serbia, Seychelles, Singapore, Solomon Islands, St. Eustatius (Netherlands Antilles Territory), Saint Helena, Ascension and Tristan da Cunha, Saint Kitts and Nevis, St. Maarten (Netherlands Antilles Territory), Saint Martin, Saint Pierre and Miquelon, Saint Vincent and the Grenadines, Tahiti, Taiwan, Thailand, Tonga, Turkmenistan, Turks and Caicos Islands, United Arab Emirates, Uruguay, Uzbekistan, Turkey, Wallis and Futuna Islands (French Territory).

2.1.5. You understand and agree that BitGlide may determine not to provide the Services, in whole or in part, either in its sole discretion or due to legal or regulatory requirements, depending on your location. BitGlide may also, without liability to you or any third party, refuse to let you register for a BitGlide Account in BitGlide’s sole discretion.

2.2. BitGlide Account Registration. The User who wants to start using BitGlide Services must pass registration procedure to create a BitGlide Account. When registering your BitGlide Account, you must provide current, complete, and accurate information for all required elements on the registration page. The User will receive an email notification regarding confirmation of the Account registration at the email address provided during registration.

2.2.1. The BitGlide Account is personal and only its owner, i.e. the User, is permitted to use it (log in). The User may only have one Account. If BitGlide suspects that the User has opened multiple accounts, then BitGlide may close the User's Accounts or terminate your access, usage or the Terms without prior notice.

2.2.2. The User must be at least eighteen (18) years old (or at least the legal age in their jurisdiction) in order to register (sign up) and use BitGlide Services. BitGlide does not provide Services for Users:
  1. from countries, subject to financial sanctions imposed by Poland and according to FATF recommendations;
  2. who do not respond to eligibility criteria as defined in Clause 2.1 above;
  3. whose accounts have previously been suspended or removed from using our Services.

2.2.3. You represent and warrant that all information provided to us pursuant to these Terms is true, accurate and not misleading in any respect. If any such information changes, it is your obligation to update such information as soon as possible. You shall bear any responsibility and losses that occur due to submission of invalid data.

2.2.4. Under circumstances and procedures set out in the Terms or in the BitGlide System, the User shall perform User identification (verification) in order to start or continue provision of Services. For registration at BitGlide, BitGlide asks to provide: name, surname, email, phone number. To start using BitGlide's Services the User should complete the KYC form: provide the passport or ID card or driving license and the utility bill (Proof of Address) in some cases. In addition, the User should take a photo of him(her)self holding the identification document submitted alongside his/her face together. If the User's turnover at BitGlide Account is over than EUR 15,000.00 (or in other cases pursuant to the applicable laws and regulations), BitGlide asks to provide the User’s source of funds. Passport, ID card and driving license should be valid. Documents that can be used as proof of address: household utility bill (gas, electricity, water or fixed line telephone, landline bill), bank statement, credit card statement, solicitor’s letter confirming recent house purchase or land registry confirmation (in this case, proof of previous address will also be needed), Revenue & Customs (Inland Revenue) tax document e.g. tax assessment, statement of account, notice of coding). The submitted documents should be no more than three months old on the date of application and should show the name and current address of the User. The local authority tax bill (e.g. council tax) valid for the current year also can be used as proof of address.

2.2.5. BitGlide has the right at any time to require data and/or documents, which would help BitGlide to identify the User. Specific data and/or documents to be submitted shall be indicated in the message to the User about the necessity to perform the identification procedure.

2.2.6. BitGlide may request User to provide BitGlide with his/her personal information in order to provide Services, including but not limited to User’s name, address, telephone number, electronic mail address and date of birth, as well as his/her source of funds, financial standing and occupation. BitGlide may also verify User’s details, at any time, by requesting certain additional documents from the User. These documents may typically include a government issued identity card, proof of address such as a utility bill, and proof of the payment method. In addition, BitGlide may request further information with respect to BitGlide’s anti-money laundering ("AML") and know your client ("KYC") obligations. In addition, BitGlide may request that copies of such documents are notarized at User’s own expense, meaning that the documents are stamped and attested by a public notary. Should the documents fail BitGlide's internal security checks – for example, if BitGlide suspects they have been tampered with or are in any way proven to be misleading or misrepresenting – BitGlide shall be under no obligation to accept such documents as valid, nor under any obligation to provide feedback on the exact nature of BitGlide's findings regarding these documents. BitGlide may, at its sole discretion, terminate your Account and these Terms if such documents or verification yield a negative or uncertain conclusion, or if BitGlide suspects that the User is under the age of 18 years.

2.2.7. From time to time we may be required to request further information or review or update existing information regarding your Account or your transactions to comply with applicable laws and regulations. BitGlide reserves the right to maintain your Account registration information after you terminate your BitGlide account for business and regulatory compliance purposes, subject to applicable laws and regulations.

2.2.8. If the User terminates usage of the BitGlide Account or if BitGlide terminates these Terms or provision of the Account and the Service to the User, funds held on the User's Account shall be transferred to the User's bank account or to the account in another payment system indicated by the User (not in any case 3rd party account, these accounts are not supported for withdrawal, refund, or return). BitGlide has the right to deduct from such funds the amounts that are due or belong to BitGlide. In the event of a dispute between BitGlide and the User, BitGlide has the right to detain funds under dispute until the dispute is solved.

2.2.9. You confirm that you understand that for various reasons your BitGlide Account may become temporarily suspended or may not be accessible, and your wallet may not be operational.

2.3. BitGlide Account Management; User’s Orders. The User can manage the BitGlide Account via the Internet by logging (signing) into the BitGlide Account with the User’s credentials (login name and password). The User shall create a strong password that is not used by the User for any other website or online service. If the User loses the Account password, the User undertakes to notify BitGlide thereof immediately (not later than within one calendar day) and follow provided instructions by BitGlide. BitGlide shall not be liable for consequences that have originated due to the notification failure. The BitGlide draws User's attention to the fact that the email and other instruments linked to the BitGlide Account are used as instruments for communication with the User and/or User identification instruments. Thus, these instruments and logins to them shall be protected by the User.

2.3.1. The User may use the BitGlide Account to place orders (each, an "order") to buy the Crypto Currency. If the User indicates wrong data about the Recipient of Crypto Currency , it shall be considered that BitGlide has fulfilled its obligations properly and shall not repay the transferred amount to the User. The User may only cancel an order initiated via the Services if such cancellation occurs before the BitGlide executes the transaction. Once an order has been executed, the User may not change, withdraw or cancel authorization for BitGlide to complete such a transaction.

2.3.2. If Crypto Currency is credited to the User's BitGlide Account by mistake or in other ways under no legal basis, the BitGlide has the right and the User gives an irrevocable consent in such cases to deduct the currency from the User's BitGlide Account without User's order. If the amount of currency on the User's BitGlide Account is insufficient to debit the currency credited by mistake, the User unconditionally commits to repay BitGlide the relevant Currency credited by mistake in 3 (three) business days from receipt of the request from BitGlide. If the User notices the Crypto Currency that do not belong to him/her has been transferred to his/her BitGlide Account, the User shall immediately inform the BitGlide thereof. The User has no right to manage currency credited by mistake, which does not belong to the User. The User shall return relevant Currency credit by mistake to BitGlide.

2.3.3. The User agrees and confirms that:
  1. incoming Crypto Currency and/or Fiat Currency transferred to his/her Account is not received from illegal activity;
  2. the User will not use Services provided by BitGlide for any illegal purposes, including the User's commitment not to perform any actions and operations in order to legalise money received for a criminal or illegal activity;
  3. use of the Services and Website is at the User's own option, discretion and risk;
  4. involving high-risk assets like Crypto Currency carry significant risks and that BitGlide or its staff are not responsible for any losses which may occur using BitGlide Account, Services or Website by the User;
  5. User is responsible for the security of his/her private key, username and password on the User's own PC or Internet access location. If this username password combination is "hacked" from the User computer due to any viruses or malware that is present on the computer that the User accesses his account with, this is the User sole responsibility. The User should report immediately to BitGlide any possible hacking attempts or security breaches from his/her computer terminal. Additional verification may be required to proceed with the investigation and case resolve;
  6. the personal (external) virtual wallet address to which BitGlide will transfer Crypto Currency, belongs and is owned by User;
  7. during maintenance of the BitGlide System, the User agrees that the User is solely responsible for managing the risks associated with the User’s Crypto Currencies;
  8. User's confirmations, orders, requests, notifications and other actions performed on Website or by logging in to or performing actions through the User’s BitGlide Account and identifying him/herself in this way are treated as conclusion of a deal confirmed by electronic signature.

2.3.4. Management of the BitGlide Account via the Internet. In order to carry out a payment operation via the Internet the User shall fill in the order in the BitGlide System and submit it for execution by confirming his/her Consent to carry out the order in the BitGlide System electronically.
Submission of the order in the BitGlide System is User's agreement to carry out the payment operation which may be cancelled by the User in the manner prescribed herein.

2.4. Transaction Limits. BitGlide reserves the right to change the deposit, withdrawal, storage, transfer, and velocity limits on your BitGlide Account as we deem necessary. BitGlide may establish individual or aggregate transaction limits on the size or number of deposits, withdrawals, transfers or other transactions that you initiate using your BitGlide Account during any specified time period. If the User has reached a certain limit on a BitGlide Account (the BitGlide may define the limit at its own discretion), the User must follow the steps that the BitGlide will notify the User of.

2.5. BitGlide Account Funds. In order to complete an order, the User must first load fiat funds to BitGlide Account using one of the approved external accounts identified via the Services. The User may be required to verify the external account that User uses to load funds to the BitGlide Account. User is solely responsible for use of any external account and agrees to comply with all terms and conditions applicable to any external account.

2.5.1. The timing associated with a load transaction will depend in part upon the performance of third parties responsible for maintaining the applicable external account, and BitGlide makes no guarantee regarding the amount of time it may take to load funds into the BitGlide Account.

2.5.2. BitGlide has the right to record and store any orders submitted via any of the methods agreed on with BitGlide, and to record and store information about all transactions performed by the User or according to orders of the User. Records mentioned in the present clause can be submitted by BitGlide to the User and/or third persons, who have the right to receive such data under the basis set forth in the legislation, as evidence confirming submitted orders and/or executed transactions.

2.5.3. The BitGlide has the right to refuse to execute a submitted order if there are doubts that the order has been submitted not by the User or the submitted documents are falsified. If BitGlide has reasonable doubts that the order has been submitted not by the User or that the documents submitted to BitGlide are falsified or doubts about the legitimacy or content of the submitted order, BitGlide has the right to demand from the User to additionally confirm the submitted order and/or submit to BitGlide documents confirming the right of persons to manage the funds held on the Account or other documents indicated by BitGlide via a method acceptable to BitGlide at User’s own expense. In this case BitGlide acts with the aim to protect legal interests of the User, BitGlide and/or other persons; thus, BitGlide does not undertake the responsibility for losses, which may arise due to refusal to execute the submitted order.

2.5.4. Before executing the order submitted by the User, BitGlide has the right to demand from the User to submit documents, which prove the legal source of money related to execution of the order. If the User does not submit such documents, the BitGlide has the right to refuse to execute the order of the User.

2.5.5. The BitGlide has the right to suspend and/or cancel execution of the order submitted by the User if it is required by applicable legal acts or due to other reasons beyond the control of the BitGlide. If the BitGlide refuses to execute the order submitted by the User, it immediately informs the User thereof and sends a notification to the User, except when such notification is technically impossible or forbidden by legal acts.

2.5.6. The BitGlide does not accept and does not execute orders of the User to perform operations on the Account of the User if funds on the Account is arrested, the right of the User to manage the funds is otherwise legally limited, or if operations performed by BitGlide are suspended in cases described by applicable legal acts.

2.5.7. If funds transferred by the order are returned due to reasons beyond the control of BitGlide (inaccurate data of the order, the account of the recipient is closed, etc.), the returned amount is credited to the Account of the User. Fees paid by the User for execution of the order are not returned, and other fees and costs related to the returning of funds and applied against BitGlide can be debited from the Account of the User.

2.5.8. The User transactions are monitored. The User should provide BitGlide within 3 (three) business days from the moment of receiving the respective request with all the necessary information concerning completed order, including but not limited to explanations, certificates, other documents and information on issues related to order/payment operation. In case the requested information is not provided by User or is incomplete or false, BitGlide is entitled to suspend provision of all or part of Services to the User or/and terminate the Terms.

2.5.9. BitGlide may review User's withdrawal transaction to mitigate any risks and/or prevent money laundering and to ascertain whether the transaction is connected to any Restricted Activity (as designed in Section 3 below). If risk is identified by BitGlide, BitGlide reserves the right to refuse the order.

2.5.10. Only valid payment methods specified by BitGlide may be used for BitGlide Services.
All exchanges of fiat currency into Crypto Currency via BitGlide Service are final. BitGlide does not accept any returns or provide refunds for the User, except as otherwise provided in these Terms.

2.6. Insufficient Funds. The User agrees to maintain in BitGlide Account a sufficient amount of funds to meet minimum balance required for the transaction. The User acknowledges that if the User does not have sufficient funds required for fulfilling the transaction it won't be processed. If the User has an insufficient amount of funds in the BitGlide Account to complete an order via the Services, the BitGlide cancels the entire order.

2.7. Consent; Order Cancellation. The payment operation (order) is considered authorised only after the User gives the User’s Consent. The Consent can be confirmed by an electronic signature, the password or descriptor given to the User when the payment will appear on User’s bankcard statement. The Consent confirmed via any of the methods described herein is considered appropriately confirmed by the User, bears the same legal power as a paper document (Consent) signed by the User and can be used as evidence when settling disputes between BitGlide and the User in courts and other institutions. The User does not have the right to challenge the payment operation performed by BitGlide if the payment order has been confirmed by a Consent submitted by a method defined herein.

2.7.1. The User agrees that the BitGlide, while executing the payment operation, may transfer Personal data of the User possessed by BitGlide to persons directly related to execution of such payment operation – international payment card organisations and other Bank/Payment Providers involved in the execution of the payment service.

2.8. Refunds; Reversals. Once a transaction has been initiated, it cannot be reversed or refunded, except as set forth in these Terms. For the avoidance of doubt, any third-party transfers, made at the exchange platforms other than BitGlide, will not be refunded. You may have additional refund or chargeback rights under your agreement with the recipient of such funds, your financial institution, or applicable law. You should periodically review statements from your financial institution and any other service that you use to execute transactions with Crypto Currency, which should reflect all applicable transactions made using the related transaction method. You can also access the record of transactions in your BitGlide Account by logging into your BitGlide Account.

If your transaction has not been processed and you have not received a request for documents/information within 72 hours of the payment receipt subject to provisions of these Terms, you have the option to request a reversal of the payment and the funds will be refunded to you in full. Typically, a refund request is processed within 24 hours, excluding weekends, and is made using the same payment method used for the original transaction. However, the speed of crediting the refunded funds to the client`s account/card depends on the payment method and the work of a particular payment service provider.


2.8.1. In rare circumstances, relevant solely to wire transfers made to BitGlide, such as (1) failure of the User to provide the relevant KYC documents required by BitGlide; (2) if the User shares his/her log in data to the User's account with a third party; (3) if the User chooses to cancel the order, BitGlide reserves the right to cancel wire transfer order. In the event BitGlide cancels the order, if BitGlide already received the funds from the User with regards to such order, BitGlide will, subject to applicable law and regulation, refund such funds to the User. Such refund shall be made to the same source from which they have originated, after deduction of any cost or expense BitGlide incurs with regards to such transfer, including without limitation any wire transfer charges, currency exchange charges and/or payment processing charges. The User's funds may, at BitGlide’s sole discretion, be returned to another source to which the User is the beneficiary, as long as the User provides the BitGlide with the required documents and information to verify that the account to which the funds were requested to be refunded belongs to the User.

2.8.2. To comply with anti-money laundering and terrorist financing regulations or any other regulations and to prevent prohibited conduct, all payments and information related to the aforementioned refund may be verified by BitGlide. In such a case, BitGlide may request from the User, at its sole discretion, to provide certain documents and information, including without limitation identification documents, copy of the credit card or bank details and/or any other proof required to affect the refund. In case the User fails to provide appropriate documents or information, or in case of any doubts as to the authenticity of provided documents and information, BitGlide shall be entitled to cease the refund process until the User takes appropriate measures, as requested.

2.8.3. Notwithstanding the above, BitGlide reserves the right to cancel the order without any refund, or decline any refund request, if it suspects that the User has or is engaged in, or has in any way been involved in, fraudulent or illegal activity.

2.8.4. Where applicable, refunds will be processed without undue delay, and in any event within 7 (seven) business days from cancellation of order, subject to the requirements set forth hereinabove, and provided that the User does not fail to provide BitGlide with any information and/or documentation required in order to process the refund.

2.8.5. BitGlide provides the Users with an option to resolve any issues related to the use of the Services prior to the submission of the written complaint by the User to the User’s bank. In case a suspicious activity is registered in the account of the User, BitGlide may suspend the activity of the account for the purpose of conducting an internal investigation.

2.8.6. Any fees incurred as a result of a refund request (i.e. transfer fees) are to be paid by the User.

3. Restricted Activities and Prohibited Transactions

3.1. In connection with your use of the Services, the User agrees that the User will not:
 
  1. violate (or assist any other party in violating) any applicable law, statute, ordinance, or regulation (including anti-money laundering);
  2. partake in any transaction involving the proceeds of illegal activity;
  3. transfer and/or receive funds acquired in illegal manner;
  4. intentionally try to defraud (or assist in the defrauding of) BitGlide or other BitGlide Users;
  5. provide false, inaccurate, or misleading information;
  6. take any action that interferes with, intercepts, or expropriates any system, data, or information, including attempt to gain unauthorised access to other BitGlide accounts, the BitGlide Website, or any related networks or systems, or undertake any other deliberate actions which could disturb provision of the Services to the Users or third parties or disturb proper functioning of the BitGlide Website, or any related networks or systems;
  7. refuse to provide information reasonably requested by BitGlid;
  8. refuse to cooperate with BitGlid in investigation of violations and identification of the User;
  9. transmit or upload any virus, worm, or other malicious software or program;
  10. use the Services on behalf of any third party or otherwise act as an intermediary between BitGlide and any third parties, or use an anonymous Account;
  11. use the BitGlide Account and the Services in a way which causes losses, responsibility or other negative legal consequences to BitGlide or other third parties;
  • disclose passwords and other personalised safety features of payment instruments and the Account data to third persons and allow other persons to use Services under the name of the User;
  • defame, harass, or violate the privacy or intellectual property rights of BitGlide or any other BitGlide Users; or
  1. access the Services from a country, where Services are not provided by the BitGlide, according to Section 2.1.1. above (such (a) – (n) activities, “Restricted Activities”).

3.2. In addition, using the Services for transactions related to the following is prohibited, and BitGlide reserves the right to monitor for transactions that relate to:
 
  1. any Restricted Activities, Restricted Persons or persons or entities located in Restricted Territories (as each term is defined in Section 2.1.1. above);
  2. money laundering or terrorist financing;
  3. any sort of Ponzi scheme, pyramid scheme, or multi-level marketing program;
  4. wash trading, front-running, insider trading, market manipulation or other forms of market-based fraud or deceit;
  5. any other matters, goods, or services that from time to time we communicate to you that are unacceptable and which, for example, may be restricted by our and your financial institution or payment partners (such (a) – (e) transactions, “Prohibited Transactions”).

3.3. In the event that BitGlide learns you are making or attempting any Restricted Activities or Prohibited Transactions, BitGlide will consider it to be a violation of these Terms and may suspend or terminate your BitGlide Account.

3.4. The User shall reimburse all direct damages, fines and other monetary sanctions applied to BitGlide due to failure to observe or violation due to the fault of the User under this Section 3.

4. Fees; Exchange Rate of Crypto Currency

4.1. BitGlide may charge fees in connection with the Services (“Services Fees”). You agree to pay the Services Fees shown to you, if any, or as separately agreed between you and BitGlide, when you enter into a transaction.

4.2. BitGlide determines the following Services Fees related to buying of the Crypto Currency:
4.2.1. VISA/MasterCard
  1. Processing fee: 0,1%-1% 
  2. Network fee: provided at the moment of the transaction and it is determined dynamically, based on the supply and demand within the blockchain network.

Please note, that due to the exchange rate difference, the difference in the time of the transaction, as well as other circumstances affecting the course, the size of the real Services Fees may be different from the stated.

4.3. The minimum order size for Crypto Currency if paid via a bank transfer is 1000.00 EUR (and its equivalent in USD). For payment card orders, the minimum size is 5.00 EUR (and its equivalent in USD). Any change in the minimum order size shall take effect when published on the Website and User’s continued use of the Services will be deemed to constitute the User’s acceptance of such change.

4.4. The applicable Crypto Currency network or supported bridge may charge a fee in connection with blockchain transactions. You are responsible for all such fees.

4.5. You are responsible for, and agree to pay, all fees that may be charged by your financial institution in connection with sending funds to BitGlide or receiving funds from BitGlide. BitGlide is not responsible for any charges that you incur based on delayed processing of deposits or withdrawals that might result from overdraft fees or otherwise.

4.6. All exchange rates of Crypto Currency shall be quoted in relevant currency as determined by BitGlide.

4.7. You hereby understand and agree that any price or rate of the Crypto Currency which appears on the Website, at which we exchange the Crypto Currency, is accurate for that moment alone, due to the highly volatile nature of the price of the Crypto Currency and the period of time required for completing the transaction. Such a period of time may vary depending on the method of payment and the third-party payment processors which are used by you or by us, as the case may be.

4.8. The final price of your transaction will be the transaction rate which appears on the Website upon execution and as stated in the order transaction summary, subject to the deduction of the transaction fee. You understand and agree that the final price may be either higher or lower than any other rate which was previously available on the Website, in accordance with value fluctuation which may occur, that this may change either in your favour or in ours, and that we have no control whatsoever on such change.

5. Order Settlement

5.1. Following the User’s payment of fiat currency being received by BitGlide, subject to the provisions of the Terms, BitGlide shall deliver to User’s external virtual wallet address.

The User confirms that the written wallet is User's personal wallet and that the User double checked all payment details, and that BitGlide is not responsible for any losses occurred with incorrect input of the wallet address.

5.1.1. The User should be very attentive while specifying the virtual wallet address or number. In case a typing error was made, and the funds were directed to such a wallet which is different from the one belonging to the User, the transaction is irrevocable. It is suggested to use a wallet that only the User has access to.

5.1.2. BitGlide does not bear the responsibility for the loss which may result from a typing error and/or the use of the wallet which is accessible to third parties. The User is fully responsible for the correctness of data and orders provided to BitGlide and when filling in documents in the BitGlide System.

5.1.3. The User should immediately notify BitGlide if (a) there has been an unauthorised order or transaction sent from the User’s BitGlide Account, and (b) there has been unauthorised access to the User’s BitGlide Account. BitGlide strongly recommends monitoring the BitGlide Account on a regular basis.

5.2. The User acknowledges and agrees that it is at BitGlide’s sole discretion whether to: (i) provide User with the Services; and/or (ii) reverse any of User’s orders and/or transactions. For example: in order to provide liquidity for its users, BitGlide trades the Crypto Currency with other Crypto Currency exchanges. In the event of insufficient liquidity of a certain Crypto Currency, BitGlide may pause, decline or reverse User’s order for purchasing such Crypto Currency.

5.3. The User acknowledges that certain limits may apply to the sale/purchase of Crypto Currency to User, as the case may be, in accordance with our policies, including without limitation with respect to the volume and BitGlide’s KYC process. BitGlide reserves the right to change such limits in sole discretion. Such limits, for example, may be set by order per day and/or per month.

5.4. BitGlide reserves the right to refuse to process, or to cancel or reverse, any order from the User for exchange of fiat currency into Crypto Currency, as the case may be, in BitGlide’s sole discretion (for reasons which include but are not limited to User’s possessing insufficient fiat currency, as the case may be, and/or if User transfers of fiat currency, as the case may be, is not possible) and even after funds have been debited from User’s Account.

5.5. BitGlide reserves a right to process the order of the User if the amount of the fiat currency received to the bank account of the BitGlide is different from the order amount, however, only if the difference is not more than EUR 20.00. In case the discrepancy is larger than EUR 20.00, the BitGlide would contact the User via email with a request to place an order with a sum, corresponding to the amount sent. Under the circumstances where there is no information received from the User within 3 business days, or if the User would refuse to place a correct order, the BitGlide would issue a refund, and direct the transfer back to the original sender, using the bank details of the User.

5.6. The User acknowledges and agrees that after making the first payment (order), the User will have 48 hours to complete the verification. In case of refusal or expiration of the specified period, BitGlide will return the money to the User's Account.

5.7. Right to Set Off. BitGlide may and is authorised, without prior notice and both before and after demand, to set off the whole or any part of your liabilities or other amounts payable to BitGlide, including but not limited to fees, whether such amounts are present or future, actual or contingent, or liquidated or unliquidated, against any sums held by BitGlide and owed to you, whether under these Terms or any other agreement between BitGlide and you.

5.8. For the purpose of exercising its rights under the Section 5.7 above: (i) BitGlide is entitled to convert and/or exchange any supported Crypto Currency owned by you and held by BitGlide, and is authorised to effect any such conversions at the then prevailing exchange rate; and (ii) if your liability is contingent and/or unliquidated, then BitGlide may set off the amount it estimates in good faith will be the liquidated amount.

6. Confidentiality; User’s Data

6.1. You agree that the information contained in your BitGlide Account is confidential and intended only for you and that you will not cause others to rely upon it (save as otherwise prescribed by law) without our prior written consent. In addition, you agree not to transfer technical and commercial information of BitGlide to third parties without our prior written consent.

6.2. You agree and understand that we share information concerning you and your BitGlide Account as follows: (a) with our third-party service providers that we use or may use to process Crypto Currency in connection with the Services contemplated by these Terms, in accordance with our ordinary business operations; (b) with appropriate governmental, state or federal regulatory authorities, and self-regulatory organisations, as we determine, in our sole discretion, is required or otherwise appropriate in connection with our regulatory requirements; and (c) in response to a court or government order. We may also disclose information about you and your BitGlide Account to any BitGlide service provider in accordance with applicable laws, these Terms, our Privacy Policy, and customary banking practices. Further, you agree that BitGlide may obtain and use such information as may be necessary for legitimate business needs in connection with the operation of BitGlide. 7. Associated Risks

7.1. By accepting the Terms, the User acknowledges and agrees that the User has fully understood and is aware of the possible risks related to the Services usage. The User confirms that the User understands and agrees that the risks associated with the Services are acceptable by User, taking into account his objectives and financial capabilities.

7.2. The User acknowledges that (a) purchasing the Crypto Currency carry significant risk, prices can fluctuate on any given day, (b) because of such fluctuations, the Crypto Currency may gain or lose value at any time and may be subject to large swings in value and may even become absolutely worthless, and (c) the Crypto Currency trading has special risks not generally shared with official currencies, goods or commodities in a market.

7.3. The User acknowledges and agrees that BitGlide does not act as a financial advisor, does not provide investment, legal or financial advice services, and any communication between User and BitGlide cannot be considered as such mentioned advice. The BitGlide provides exclusively the exchange services and does not provide brokerage services to the Users. Without prejudice to our foregoing obligations, in asking us to enter into any transaction, User represents and warrants that he/she has been solely responsible for making the User’s own independent appraisal and investigations into the risks of the transaction. User represents that the user has sufficient knowledge, market sophistication and experience to make his/her own evaluation of the merits and risks of any transaction and that the User received professional advice thereon. BitGlide gives no warranty as to the suitability of the Services and assumes no fiduciary duty in our relations with the User.

7.4. BitGlide is not liable for any price fluctuations in the Crypto Currency. In the event of a market disruption, BitGlide may, at its discretion and in addition to any other right and remedy, suspend the Services. BitGlide will not be liable for any loss suffered by the User resulting from such action. Following any such event, when the Services resume, the User acknowledges that prevailing market rates may differ significantly from the rates available prior to such event.

8. Limitation of Liability; No Warranty

BitGlide’s liability under these Terms is limited by the following provisions.

8.1. BitGlide shall not be responsible for any damage or loss incurred by the User as a result of the Services. BitGlide shall only be liable for direct damages caused by a direct and essential breach of these Terms made by BitGlide, and only for such damages, which could have been reasonably anticipated by BitGlide during the breach of these Terms.

8.2. In all cases, BitGlide shall not be responsible for the profit and income the User has not received, loss of User's reputation, loss or failure of User's business, and all indirect damages.

8.3. BitGlide is not liable for any of the following types of loss or damage arising under or in connection with these Terms or otherwise:
  1. Money funds transfer from the BitGlide Account and for other payment operations with money on the User's Account if the User has not protected his/her passwords and identification instruments, and they have become known to other persons, and also for illegal actions and operations of third persons performed using counterfeited and/or illegal documents or illegally received data;
  2. Errors made by banks, payment systems and other third persons;
  3. Consequences which arise after BitGlide legally terminates these Terms, cancels User’s BitGlide Account or limits access to it, also after reasonable limitation/termination of provision, in full or in part, of the Services;
  4. Any loss of profits or loss of expected revenue or gains, any other loss of revenue or actual or anticipated savings, including any loss of anticipated trading profits and/or any actual or hypothetical trading losses;
  5. Any loss of or damage to reputation or goodwill; any loss of business or opportunity, customers or contracts; any loss or waste of overheads, management or other staff time;
  6. Any loss of use of hardware, software or data and / or any corruption of data; including but not limited to any losses or damages arising out of or relating to any inaccuracy, defect or omission of digital currency price data, any error or delay in the transmission of such data, and/or any interruption in any such data;
  7. Any loss or damage whatsoever which does not stem directly from the breach of these Terms by BitGlide, and/or any loss or damage whatsoever which is in excess of that which was caused as a direct result of the breach of these Terms by BitGlide (whether or not the User is able to prove such loss or damage);
  8. Any loss due to circumstances beyond the control of BitGlide, such as war or the threat of war, a change of political regime or other third-party actions.

8.4. The User bears all the losses that have arisen due to unauthorised orders or payment operations and these loses have been incurred due to:
  1. usage of a lost or stolen payment instrument;
  2. illegal acquisition of a payment instrument if the User has not protected personalised security features (including identity confirmation instruments).

8.5. THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. BITGLIDE, OUR AFFILIATES, AND OUR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES, AND SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. BITGLIDE MAKES NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS.

8.6. BitGlide does not guarantee uninterrupted BitGlide System operation, because BitGlide System operation can be influenced (disordered) by many factors, which are beyond control of BitGlide. BitGlide will put all efforts to secure as fluent BitGlide System operation as possible; however, BitGlide shall not be liable for consequences originating due to BitGlide System operation disorders.

8.7. BitGlide will make reasonable efforts to ensure that requests for the BitGlide Account transactions are processed in a timely manner, but BitGlide makes no representations or warranties regarding the amount of time needed to complete processing because the Services are dependent upon many factors outside of our control, such as delays in the banking system.

9. Intellectual Property Rights

9.1. BitGlide and its licensors reserve all rights in the Services and you agree that these Terms do not grant you any rights in or licenses to the Services except for the limited access and use set forth in these Terms. All right, title, and interest in and to the BitGlide Website, any content thereon, the Services, and all technology and any content created or derived from any of the foregoing is the exclusive property of BitGlide and its licensors. "BitGlide.cc", "BitGlide", and all logos related to the Services are either trademarks, or registered marks of BitGlide or its licensors. You may not copy, imitate, or use them without BitGlide's prior written consent.

9.2. Except as expressly authorised by BitGlide, you agree not to modify, reverse engineer, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Services or the Website, in whole or in part. If you violate any portion of these Terms, your access and use of the Services and your BitGlide Account may be terminated pursuant to these Terms.

10. Disputes Settlement

10.1. BitGlide aims to settle all disputes with the User amicably, promptly and on terms acceptable to both BitGlide and the User; thus, in case of a dispute, the User is encouraged to, first of all, address BitGlide directly. Disputes are solved by negotiation.

10.2. The User will notify BitGlide in writing of any dispute regarding Services provided by BitGlide by sending a notice via email. Notice to BitGlide shall be sent at info@bitglide.cc. Notice to you shall be either posted on the Website or, if available, will be sent by email to your email on record. Your notice must include (i) your name, postal address, email address and telephone number, (ii) a full and sufficient description of the nature or basis of the dispute, and (iii) the specific relief that you are seeking. If the User bases the User’s complaint on documents, which BitGlide does not possess, the User shall also submit such documents or their copies when filing the notice. BitGlide shall examine User's notice or complaint and notify the User about the decision not later than within 30 (thirty) days, except when legal acts or other BitGlide binding acts related to provision of Services establish a different time limit. If BitGlide cannot provide the answer/decision to the notice of the User within this time period, the BitGlide shall inform the User about the reasons and indicate when the User will receive the answer/decision. In case the User is not satisfied with the decision of BitGlide, the User has the right to use all other legal remedies to protect the User’s rights. The User expressly agrees that messages transferred via mail and email can be considered evidence when settling disputes between BitGlide and the User.

10.3. If you and BitGlide cannot agree how to resolve the dispute informally, then either you or BitGlide may, as appropriate and in accordance with this section, commence a proceeding or file a claim in court.

11. Governing Law; Jurisdiction

The laws of Poland, without giving effect to any principles of conflicts of law, shall govern these Terms. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of Poland. You agree with us that, if you are a consumer, the courts in the permitted region where you are resident will have non-exclusive jurisdiction.

12. Changes to the Terms

12.1. BitGlide reserves the right to modify and change any of the provisions of these Terms in its discretion at any time, including without limitation as a result of legal and regulatory changes, security reasons or changes to the Services.

12.2. Unless otherwise specified in these Terms, BitGlide will notify you of any such amendment, modification, update or change by publishing a new version of these Terms on the relevant page of the Website, or by notifying you by email, at our sole discretion. Unless otherwise specified in these Terms, any new version of these Terms will take effect upon publication on the Website. Your continued use of BitGlide Services is deemed your acceptance of the modified Terms. In the event that you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services and close your BitGlide account. You agree that we shall not be liable to you or any third party as a result of any losses suffered by any modification or amendment of this Agreement.

13. Other Provisions

13.1. Communication; Notices. You understand and agree that all communication with you will be via email. We will use the email address on record for your BitGlide Account as our primary means of communicating with you. To ensure that you receive all of our communications, you agree to keep your email address up-to-date and immediately notify us if there are any changes. Delivery of any communication to the email address on record is considered valid, and will be deemed to have been acknowledged as authorised, correct, approved, and confirmed by you unless we have received written notice to the contrary within three business days from the date the communication was sent. If we send an email to the email address on record for your BitGlide Account, you agree and understand that this constitutes a written notice from us to you. If you email info@bitglide.cc, this constitutes a written notice from you to us.

13.2. Legal Compliance. Your use of the Services is subject to the laws, regulations, and rules of any applicable governmental or regulatory authority, including, without limitation, all applicable tax, anti-money laundering (“AML”) and counter-terrorist financing (“CTF”) provisions. You unequivocally agree and understand that by registering your BitGlide Account and using the Services in any capacity, you will act in compliance with and be legally bound by these Terms and all applicable laws and regulations. You agree, represent, and warrant that all funds in your BitGlide Account, or funds deposited by you with BitGlide in the future, are not the direct or indirect proceeds of any criminal or fraudulent activity.

13.3. Taxes. BitGlide shall not be responsible for execution of tax obligations of the User, or calculation and transfer of taxes applied to the User. BitGlide will make any tax withholdings or filings that we are required by law to make, but BitGlide is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting, or remitting any taxes arising from any transaction.

13.4. Third-Party Links. The Website may also contain links to third party websites, applications, events or other materials (“Third Party Links”). Such information is provided for your convenience and links or references to Third Party Links do not constitute an endorsement by BitGlide of any products or services. BitGlide shall have no liability for any losses incurred as a result of actions taken in reliance on the information contained on the Website or through any Third Party Links.

13.5. Electronic Form. The User and BitGlide acknowledge that the digital form of these Terms is legally equal to the agreement executed in written form.

13.6. Severability; Assignment. You acknowledge and agree that if any provision of these Terms, or application thereof, shall be determined to be invalid or unenforceable under any rule, law, or regulation or by any governmental agency, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law. You further agree and understand that the validity of or enforceability of any other provision (or of such provision, to the extent its application is not invalid or unenforceable) of these Terms shall not be affected. These Terms, or your rights and obligations hereunder, may not be transferred by you, but may be assigned by us without restriction (without having to seek your prior consent). Any attempted transfer or assignment by you in violation hereof shall be null and void. These Terms shall be binding and inure to the benefit of the parties hereto, our successors, and permitted assigns.

13.7. Force Majeure. You acknowledge and agree that in no event shall BitGlide be liable for delays, failure in performance or interruption of Service which result directly or indirectly from any cause or condition beyond our or any BitGlide service providers' reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labour dispute, fire, interruption in telecommunications or internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control including cyber security attacks, pandemics, or other events or incidents.

13.8. Entire Agreement. These Terms and our Privacy Policy, Cookie Policy, and AML/KYC Policy, incorporated herein by reference, comprise the entire understanding and agreement entered into by and between you and us as to the subject matter hereof, and supersede any and all prior discussions, agreements, and understandings of any kind.

13.9. Force majeure. BitGlide shall not be responsible for a default on or partial performance of its obligations under these Terms if the reason for the default is a result of force majeure (e.g. amendments or additions to laws or regulations, adoption and/or entry into force of new laws or regulations, including international sanctions, natural calamities and catastrophes, warfare, strikes, failures in means of communication or information systems) and other circumstances standing beyond the reasonable control of BitGlide.

13.10. No Waivier. The failure of the BitGlide to enforce any provisions of the Terms or to respond to a breach by you or other parties shall not in any way waive its rights to enforce subsequently any terms or conditions of the Terms or to act with respect with similar breaches.
3.11. Language. These Terms may be posted in multiple languages. If there are any discrepancies, the English version shall prevail.

3.12. No Partnership. You agree that no joint venture, partnership, employment, or agency relationship exists between you and the BitGlide as a result of these Terms or your access to and use of the Website and our Services.

3.13. Indemnification. You agree to indemnify the BitGlide and hold it's owners and employees harmless from any claim or demand made by a third party due to your breach of these Terms or any terms included by reference, or your violation of any law or rights of a third party. Should legal action be taken by any party to enforce it's terms under these Terms, it is agreed that if the BitGlide is the prevailing party as determined by final verdict of a court of competent jurisdiction, the BitGlide shall be entitled to full recovery of all costs and fees associated with the legal action in addition to any other compensation granted by court.
